Terms of business

Who you are contracting with

D Henderson Ltd, trading as Elysium Code, company number 14785033, registered in England and Wales. Not VAT registered: no VAT is added to any price.

Quotes and payment

Website packages are fixed price for the scope in the written quote. 50% is due to book the start date, 50% at launch. Care plans and SEO are billed monthly in advance and can be cancelled with 30 days’ notice. No VAT is charged. Invoices are due within 14 days.

What we need from you

Content, images, logins and feedback within the agreed timescales. If a project stalls for more than 60 days waiting on you, we may invoice the balance and resume when you are ready.

Changes

Small changes during the build are included. Anything outside the quoted scope is quoted separately before we do it.

Ownership

Once paid in full, the site, its content and design are yours. We keep the right to show the work in our portfolio unless you ask us not to. Third-party themes, plugins and fonts stay under their own licences.

Hosting and care

Care plans include hosting, updates, backups and monitoring as described on the care plans page. We aim for 99.9% uptime and same-day response on Priority plans; we are not liable for losses caused by downtime beyond refunding the month’s fee.

Liability

Our total liability for any project is limited to the amount you paid for it. We carry professional indemnity insurance.

Law

These terms are governed by the law of England and Wales.
